These Terms and Conditions ("Terms") govern your access to and use of the Zoara Health Inc. website, mobile application, pilot software, and related services (collectively, the "Services"). 2. Eligibility

The Services are intended only for general wellness, education, self-tracking, and lifestyle support. FDA guidance distinguishes general wellness and tracking functions from software intended for diagnosis, treatment, or clinical decision-making.
The Services are not a medical device, do not provide medical care, and are not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition. The information, scores, alerts, summaries, trends, and recommendations made available through the Services are for informational and wellness purposes only and are not medical advice.
You must not rely on the Services for diagnosis, treatment decisions, medication decisions, or emergency care. Always seek the advice of a physician or other qualified healthcare professional regarding any medical concern, and call 911 or your local emergency number in a medical emergency.
5. Account Registration and Security
To access some features, you may need to create an account and provide accurate, current, and complete information. App terms commonly require users to keep account information current and protect their credentials.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Zoara promptly of any unauthorized use of your account or any security breach.
6. License to Use the Services
Subject to your compliance with these Terms, Zoara grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial wellness use. Terms for SaaS and wellness apps commonly grant a limited license rather than any ownership transfer.
Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or otherwise attempt to derive source code from the Services, except to the extent that such restriction is prohibited by law.
7. Acceptable Use
You agree not to:
• Use the Services in any unlawful, harmful, fraudulent, deceptive, or abusive manner.
• Upload viruses, malware, or other malicious code, or interfere with the integrity or performance of the Services.
• Attempt to gain unauthorized access to accounts, systems, or networks connected to the Services.
• Use the Services to build a competing product or service, scrape data, or access the Services through unauthorized automated means.
• Misrepresent your identity or submit false or misleading information.
• Use the Services for clinical diagnosis, treatment, monitoring of acute conditions, or emergency response.
Zoara may investigate violations and suspend or terminate access where reasonably necessary to protect the Services, users, or the Company.
8. Third-Party Services and Integrations
The Services may allow you to connect wearable devices, health apps, or other third-party products and services. App and SaaS terms commonly clarify that third-party offerings are governed by their own terms and privacy policies.
Zoara is not responsible for the availability, accuracy, security, or practices of any third-party services. Your use of third-party services is solely between you and the applicable third party.
9. User Content and Feedback
You may provide data, text, survey responses, feedback, suggestions, or other content through the Services (collectively, "User Content"). Terms commonly specify that users retain ownership of their content while granting the service provider rights needed to operate and improve the service.
You retain ownership of your User Content, but you grant Zoara a non-exclusive, worldwide, royalty-free license to host, use, reproduce, process, modify, display, and analyze your User Content as necessary to operate, improve, support, secure, and evaluate the Services, subject to the Privacy Policy.
If you provide product ideas, comments, or suggestions, Zoara may use them without restriction or obligation to you.
10. Privacy

By using the Services, you acknowledge that Zoara may process your information in accordance with the Privacy Policy.
11. Intellectual Property

Except for the limited license expressly granted above, no rights, title, or interest in or to the Services are transferred to you.
12. No Warranty
The Services are provided on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise. Standard SaaS and app terms commonly disclaim warranties including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Zoara disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, quiet enjoyment, availability, or that the Services will be uninterrupted, secure, or error-free.
13. Limitation of Liability
To the fullest extent permitted by law, Zoara and its directors, officers, employees, contractors, licensors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or use, arising out of or related to your use of or inability to use the Services. Limitation of liability is a standard protection in SaaS and mobile app terms.
To the fullest extent permitted by law, Zoara's total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to Zoara for the Services in the 12 months before the event giving rise to the claim, or (b) $100 USD.
Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some of the above may not apply to you to the extent prohibited by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Zoara and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or related to your misuse of the Services, your violation of these Terms, or your violation of any applicable law or third-party right. Indemnification clauses are commonly included in SaaS and app terms.
15. Suspension and Termination
Zoara may suspend or terminate your access to all or part of the Services at any time, with or without notice, if Zoara reasonably believes that you have violated these Terms, created risk for other users, or exposed Zoara to legal or security risk. You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, disputes, and governing law.
16. Changes to the Services or Terms
Zoara may modify the Services or these Terms from time to time. Terms documents commonly provide that continued use after posted changes constitutes acceptance of the revised terms.
When changes are material, Zoara may provide notice through the website, the App, or by email. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Governing law and dispute resolution clauses are standard components of SaaS and app terms.
Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts, unless applicable law requires otherwise.
18. Miscellaneous
These Terms constitute the entire agreement between you and Zoara regarding the Services and supersede any prior or contemporaneous agreements relating to the same subject matter.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Zoara's failure to enforce any provision is not a waiver of its right to do so later.
You may not assign or transfer these Terms without Zoara's prior written consent. Zoara may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
